Terms of Service

These Terms of Service ("Terms") govern your use of kipplelabs.com and the products and services we provide (the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

For registration and use of AXIS Prime, see the AXIS Prime Terms of Service. These Kipple Labs Terms govern the kipplelabs.com website and Kipple Labs products (compliance kits, dashboards, developer tooling).

1. Acceptance and updates

By using the Services, you confirm you have read and accept these Terms. We may update the Terms; material changes will be communicated by updating the "Last updated" date and, where appropriate, by direct notification. Continued use after changes constitutes acceptance.

2. Eligibility

You must be at least 16 years old to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Accounts

Some features require an account. You agree to:

• Provide accurate information
• Keep your credentials secure
• Notify us of unauthorized use
• Be responsible for actions taken through your account

4. Acceptable use

You may not:

• Use the Services in violation of law
• Interfere with the Services' operation, attempt to gain unauthorized access, or probe for vulnerabilities outside our responsible disclosure program
• Use the Services to send spam, harass others, or infringe intellectual property
• Reverse engineer, decompile, or extract source code from the Services, except where permitted by law or under an applicable open source license
• Resell or sublicense the Services without written permission

5. Intellectual property

5.1 Our content

The Services and their content (site design, text, graphics, product names) are owned by Kipple Labs or our licensors. "Kipple Labs," "AXIS," and "AXIS Prime" are trademarks of Kipple Labs.

5.2 AXIS Protocol

The AXIS Protocol specification is open source under Apache 2.0, available at github.com/MachinesOfDesire/axis-protocol. Use of the AXIS Protocol is governed by the Apache 2.0 license, not these Terms.

5.3 Your content

You retain ownership of content you submit. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use it solely to operate and improve the Services.

6. Fees and payment

Some products and services may require payment. Fees, billing, refund, and cancellation terms will be disclosed at the time of purchase. As of the "Last updated" date, paid offerings are not yet generally available; inquire at [email protected] for design-partner arrangements.

7. Beta services

Services marked as beta, preview, or design-partner are provided "as is" and may change or be discontinued. We may require separate agreements for design-partner engagements.

8. Third-party services

The Services may link to or integrate with third-party services (GitHub, Stripe, etc.). We are not responsible for those services or their terms.

9. Warranties and disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE AGAINST ALL THREATS.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KIPPLE LABS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, OR GOODWILL, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY.

IN NO EVENT WILL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS (US$100), WHICHEVER IS GREATER.

11. Indemnification

You will indemnify and hold Kipple Labs harmless from claims arising out of your misuse of the Services or violation of these Terms.

12. Termination

We may suspend or terminate your access at any time for any reason, including violation of these Terms. You may stop using the Services at any time. Provisions that by their nature should survive termination (intellectual property, disclaimers, limitations of liability, dispute resolution) will survive.

13. Governing law and disputes

These Terms are governed by the laws of the State of Washington, United States, without regard to conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in King County, Washington, except where applicable consumer protection laws provide otherwise.

14. Miscellaneous

• Entire agreement: these Terms, together with any applicable product-specific terms, constitute the entire agreement between you and Kipple Labs regarding the Services.
• Severability: if any provision is held invalid, the remaining provisions remain in effect.
• No waiver: our failure to enforce any provision does not waive our right to enforce it later.
• Assignment: you may not assign these Terms without our consent; we may assign to an affiliate or successor.
• Notices: we may communicate with you via email or by posting to our Services.
